PHOTOGRAPHER TERMS AND CONDITIONS

WARRANTIES

You warrant that you own all proprietary rights to the images you submit to PhotoEdit.

GRANT OF RIGHTS

You grant PhotoEdit a license to modify and distribute your submitted images as PhotoEdit decides is best for its markets, and to use your name while doing so. PhotoEdit will accept or reject submitted images as it determines best, and may employ the services of third-party licensees to distribute your images. You retain the copyright in your images, but for policing purposes PhotoEdit will use both its name and your name when PhotoEdit licenses your images.

PROMOTIONAL USES

PhotoEdit periodically uses images from its collection, with attribution to each image photographer, to promote its business. You agree that your images may be used as examples of PhotoEdit’s collection without compensation to you until you tell us not to use them.

ROYALTIES

PhotoEdit will pay royalties every two weeks. Royalties less than $100 may be accumulated until $100 is owed.

ASSIGNMENT, RELATIONSHIP

This agreement is binding upon your and PhotoEdit’s heirs, executors, administrators, successors, and assignees. Either you or PhotoEdit may assign this agreement without consent. You are an independent contractor.

TERM

This agreement may be terminated at any time for any reason by either you or PhotoEdit upon written notice of a mutually agreed upon time frame. Within 90 days of termination, PhotoEdit will delete all of your digital files from its collection. PhotoEdit will of course continue to timely pay all royalties that accrue to your images.

LIMITATION OF LIABILITY

Neither PhotoEdit nor any of its owners, directors, officers, or employees will be liable for any damages arising out of the use or non-use of your images.

DISPUTES

Any disagreements between you and PhotoEdit will be submitted to binding arbitration at the Orange County, California, offices of the American Arbitration Association according to its Commercial Arbitration rules. Each party will bear its own expenses, including attorney’s fees. The laws of California govern this agreement.

MISCELLANEOUS

This agreement incorporates the entire understanding between you and PhotoEdit, and may only be modified by a separate writing signed by both you and PhotoEdit. Facsimile signatures are acceptable to both parties.
